That is not at all what it means. $MMTLP shares were cancelled and exchanged for non-DTC eligible shares in private company Nextbridge Hydrocarbons. The share dividend is a 30:1 dividend to all eligible shareholders. It is an issuance from shelf shares. There is no indication or desire for trading to happen. What it does do is put brokers on the hook for 3% more shares. If they happen to have a different amount in accounts than their bulk certificate it continues the problem and resets the statute of limitations.

This is incorrect. An FTD will not be recorded because it is not DTC eligible. FTD reporting under Reg sho applies to cleared and settled trades through NSCC/DTC. Brokers have received the dividend shares that correspond to their bulk certificate. Any internal broker shortfall will need to be managed broker to customer and will not generate a public FTD.

Here's what has my attention... • NBH completes a 30:1 stock dividend today • NBH has an effective S-1 to sell up to 40 million shares at $15 (up to $600M in gross proceeds) • BaileyBridge Inc is formed in Texas with 500 million authorized shares and Greg McCabe is listed as its initial director. Many ask, "How could Frost Bridge acquire NBH if Frost Bridge doesn't appear to have the cash?" Here's the interesting part: Frost Bridge doesn't necessarily have to be the money. In many M&A transactions, the named buyer is simply the acquisition or operating vehicle. The financing often comes from a parent company, institutional investors, private equity or lenders. Could BaileyBridge be that parent or financing entity, with Frost Bridge becoming the operating company that ultimately owns the assets? If that were the structure, it could look something like this: • NBH completes the dividend • The S-1 strengthens NBH's balance sheet • BaileyBridge provides or arranges the acquisition financing • Frost Bridge acquires NBH or its assets • Registered shareholders (AST) receive the merger consideration for their legally outstanding shares. What about broker overages? If customer accounts at brokers reflect more share entitlements than the number of legally outstanding shares, the company would generally pay only for the legitimate shares recognized in the transaction. Any additional customer obligations would typically remain between the brokers, clearing firms, counterparties and their customers, to be resolved under the terms of the transaction and applicable law—not by issuing additional merger consideration from the company. I'm not saying this is what's happening. I'm saying it's one transaction structure that could explain why BaileyBridge was formed and why Frost Bridge wouldn't necessarily need cash on its own balance sheet. We'll know the actual plan only if and when the companies disclose it. #EverydayImShuffling
