That gives me even more conviction, that they knew what they were doing. Because the method used in that response from David Kastin to the SEC for that specific S-1 Registration Statement, specifically mentions Rule 457(p), which is required if the filer is directing the SEC to use the initial Registration Fee amount to offset the final Registration Fee amount for future filings. That specific note is required in that request, and you also have to format the Fee Table specifically per the updated rules. And those two things were specifically included on that S-1 filing (screenshot in previous post). There is literally no other reason why David Kastin would have filled that withdrawal request to the SEC on April 28, 2023, with those notes. None. And I'll show you why... bear with me, as I put more in this reply, than I probably should have regarding 457(p), but it is still good info, imo. The important part in this story, imo, is the timing, so if you want to skip down to the paragraph that starts with... "The timing.." ===== You pointed out, that the subsequent filed registration statement by the same registrant (including a successor within the meaning of § 230.405) imo, would fit one participant in this story... Hudson Bay. The number of shares that they acquired could have pushed someone over the 50%, and we still don't know for sure where those shares went. The PlanMan's Hunter speculates that they were sold on the open market. But were they really..? The jury is still out on that one, as that case is still in progress. I need to re-read those case filings. Click on "Final Rules" in this Harvard article describing the SEC modernized filing fee rules, and search for 457(p) and Instruction 3.C.i. Also go to pg 144 and 145 of that SEC linked document in the article (also linked below). imo, that has Hudson Bay written all over it. The filing of this S-1 Registration was filed on April 11, 2023. 12 days before the Petition Date of April 23, 2023. There is no question they knew well before that date of April 23, 2023 when and how they were going to file for Chapter 11 Bankruptcy Protection. Just the shear number of filings on April 23, 2023 which totaled 40 filings supports that logic, and by that next day in time for the First Day Hearing, almost 80 filings. Sussberg even confirms on the record at the First Day Hearing, that they were preparing to be in front of Judge Pappy entering Bankruptcy Protection as early as January 2023. And that David Kastin request to put that S-1 Registration on file was made on April 28, 2023. Now ask yourself this... why..? Well guess what... The entire business was never for sale. There was never a portion of the business sold, that would have, or could have included the tax attributes, the remaining liabilities, and the remaining assets. What was for sale, were just the three pieces (BedBath IP, bbBaby IP, and Harmon IP), the leases, the owned properties (i.e., Data Center), the GOB sales (inventory), and the FFE (furniture fixtures equipment). This was confirmed in the Bid Procedures via Doc 23, filed on 23April2023, which specifically pointed out that the Tax Attributes were not part of the Bidding Procedures. The Tax Attributes were always Excluded Assets on Day One. The Tax Attributes stayed with the remaining Assets and Liabilities of the business, just like the Rights of the legacy shareholders, as we are the owners. And don't forget, the April 11, 2023 registration statement was submitted under Form S-1, and the 2022 Registration Statement filed per Form S-4 which was deemed by the SEC as "Abandoned" in December 2022. There is a big difference in those forms, specifically this: "Form S-1 is used for initial public offerings (IPOs) to register new securities, while Form S-4 is specifically for mergers and acquisitions, providing details about the transaction to shareholders." That Form S-4 filed in November of 2022 was Amendment 2 for the "Registration of Securities and Business Combinations". New topic. Why do we see the box on the Post Confirmation Reports (PCR) selected as a Reorganized Debtor, and more importantly, who are they talking about..? So I searched, and finally found the "Reorganized Debtor". Answer: The PlanMan and the Oversight Committee My favorite part..? "In addition, the Bankruptcy Code provides that the appointment or continuance of such officers and directors be consistent with the interests of creditors and equity security holders and with public policy." So, the PlanMan is overseen by the Oversight Committee, to keep him honest. The PlanMan and Oversight Committee, are aligned with interests of creditors and EQUITY SECURITY HOLDERS.. The other day I was thinking about what still had to be processed by the PlanMan as far as Asserted Claim amounts. Then I realized every time the PlanMan requests an extension of the date to respond to claims, he gives a summary of where the asserted claims currently stand. Oddly, the most recent filing is not searchable, it is picture file, which prohibits searching for key words to find them, there are other docs like this, too. (icu PlanMan 🧐) So here they are. Sorted in order of the Date Extension Requests, by doc number, and "as of" date for the asserted amounts. NOTE: These do not include the Allowed Claim Amounts. We are on the Fifth Extension request (and ordered) date which is September 30, 2026. All I can say is they are moving the right direction, even though some dumb dumbs are still filing claims. At least they mostly are now above a certain amount, because if they don't meet a minimum threshold, they (per the plan) are SOL. Also, Gift Card claims, had a date that the claims had to be asserted, that was back in 2023. So they are wasting their time, imo. More dumb dumbs. Note, these asserted amounts do not include Class 2 (Texas Tax Claims), Class 3 (DIP Claims), or Class 4 (FILO Claims). Onward - and no, I am not going to reveal the proof or who I think is the rat, from my post last night. They'll find out soon enough.

Okay so, I was initially a bit dismissive of this little bit from the $GME 10-K as something “just” for the Bitcoin CC strategy, but I was wrong and @ButtFarm69 was right, and he’s definitely on to something here. The “subsequent event” note tells us that, after the January 31, 2026 fiscal year end, GameStop moved about $700m of cash into a special account that is pledged as collateral for certain existing and potential derivative transactions that are either cash settled or physically settled. In accounting terms, calling this a subsequent event confirms it is a post year end action that was important enough to disclose to investors, even though it is not reflected in the year end balance sheet itself. Substantively, the company is carving out a very large pool of cash specifically to support its derivatives activity, which likely includes the Bitcoin covered call structure already described, but could also support rate hedges around a future acquisition or structured derivatives tied to assets the investment committee is evaluating, plus any new option or derivative positions management wants the flexibility to put on. And so to summarize, this doesn’t feel at all like a routine operational cash movement, but rather feels more like deliberate preparation to scale or extend a derivatives program around assets or transactions that management is actively planning but has not disclosed yet. Exciting times ahead. Let’s remember to not be assholes and to be kind to each other.
