EX-SABC BOARD MEMBERS ORDERED TO PAY BACK R11.5M A classic example of what happens when incompetent and unethical individuals are appointed to boards. Institutions do not collapse because of a single decision. They collapse because boards abandon their duties. The ruling against former SABC board members is a reminder of how governance failures unfold in real time and how costly they become when fiduciary responsibilities are treated as optional. In 2016, former COO Hlaudi Motsoeneng was unlawfully awarded a R11.5 million “success fee” for brokering a deal with MultiChoice. That payment, later declared invalid, did not happen in isolation. It was approved by a board that ignored its duty of care, its duty of good faith and its obligation to act in the best interests of the organisation. This week, the Johannesburg High Court ordered former board members Mbulaheni Maguvhe, Ndivhoniswani Tshidzumba and Maleshane Raphela to repay the money and cover the SIU’s legal costs. Until now, liability had rested solely on Motsoeneng. Extending accountability to those who approved the decision underscores a simple truth: fiduciary duties are not ceremonial. They bind directors personally. The consequences of that board’s failure went far beyond the unlawful fee. The SABC’s finances were drained, its credibility with the public eroded, and its operations destabilised. A broadcaster meant to safeguard democracy was instead hollowed out by incompetence and unethical leadership. As King IV puts it: “The governing body should ensure that the organisation is a responsible corporate citizen.” At the SABC, that standard was abandoned. Board service is not about rubber stamping management proposals or advancing private interests. It is about stewardship, integrity and accountability. When those values are ignored, organisations and their stakeholders, including employees, regulators, shareholders and the public, will continue to be compromised. The court’s judgment is not just about recovering R11.5 million. It is a governance case study in how poor appointments weaken boards, damage institutions and betray the trust upon which both leadership and democracy depend. Competence and ethics are not luxuries in the boardroom. They are the foundation of governance. #AskAsanteOnBoards
