$META trial started this week. Here's what actually matters: - 29 states as plaintiffs. Federal case. - California judge. - Trial expected to last ~6 weeks - NOT a standard jury trial. 8 jurors in advisory role only. Judge decides outcome and penalties. You might think the judge part is a negative, it's not. Jury trials are unpredictable. Judge trials are far more legible and the Northern District of California hears a lot of Meta cases because Meta is headquartered in Menlo Park. Who's the judge? Judge Yvonne Gonzalez Rogers: The same one that presided over Musk vs OpenAI and in the case of Epic Games vs. Apple I think this is a positive. Her Epic v Apple ruling was the classic example since she ruled partially for both sides, ordering specific product changes (anti-steering provisions had to change) but rejected the broader monopoly claims. She tends to rule on specific narrow findings rather than deliver total wins or losses. She's also known for taking her time, being willing to challenge both sides in questioning, and issuing rulings that are carefully written with an eye toward appellate review. So above all, I think this case will be nuanced. Which means no extreme verdicts. The claims in the suit: - Infinite scroll designed to be addictive - Push notifications engineered for maximum engagement with young users - Personal data collected from minors without parental permission What the states are actually seeking: Product changes for youth accounts: - Remove infinite scrolling - Remove video autoplay - Remove the like counter Plus a (possibly hefty) one-time fine. On the fine size, headlines are throwing around $1.4 trillion. That's bigger than $META's entire market cap. It's not happening. Not with this judge at least... Even with a $60B fine - roughly an entire quarter of $META revenue - the stock takes a real hit but the business absorbs it. Q2 came in at ~$61B in revenue, $16B in net income, still growing 28% YoY. This isn't a company in decline. The product changes are the actual investment case variable if you ask me. Engagement mechanics flow through to ad revenue... Forced changes to features specifically engineered to maximize engagement is a structural change to the business. Granted, this would be only for under-18 users, but still a potentially more tangible impact than a one-time speeding ticket. I think the actual fine lands around the $10-$40 bil. range. Meta has an army of lawyers and a track record of settling and moving on. Historical context that matters: - Bank of America 2008: $30B settlement - BP 2016 Deepwater: $20B + - U.S. Tobacco Master Settlement 1998: $200B + (still the largest ever) $META's own track record: - 2023 GDPR: $1.3B - 2024 Texas biometric: $1.4B - 2019 FTC privacy: $5B Every couple of years Meta eats a single-digit billion dollar fine for something. Note the 2019 Cambridge Analytica penalty was at the time, the largest privacy-related fine ever imposed by the FTC and one of the largest in US history. If you ask me, I think $META trades HIGHER after the verdict. Why? For starters, certainty is worth more to the market than open-ended tail risk. The current discount is priced for uncertainty. A specific parallel worth watching: $GOOGL and the DOJ search antitrust case. Market priced worst-case through the ruling phase... breakup fears, forced Chrome divestitures, Android restructuring. The verdict came in materially less severe than the tail-risk scenarios. $GOOGL rerated higher as the discount for uncertainty closed. $META is currently trading with a discount priced for the worst legal outcome. I'm not saying the outcome will be good, I'm just making a bet on the outcome being less bad than what's currently priced in. But like I said, the bigger risk isn't the money. It's the product-change scenario where infinite scroll and autoplay and like counters get restricted for youth accounts, and the market has to model out what that does to engagement funnels over 3-5 years. Long $META. Sold puts at the start of this trial. Happy to be assigned shares in the low $500 range. Will be monitoring the trial for updates.
