Riley Upgrades $ASTS to Buy from Neutral, PT $85 Analyst comments: "We upgrade AST SpaceMobile to Buy following the pricing of $1 billion of 1.625% convertible senior notes due 2034, before a potential $150 million overallotment, combined with capped-call transactions that increase the effective conversion price from $79.57 to $149.20. The latter price would represent a $60 billion valuation for the company. ASTS shares have declined 44%, versus a 13% gain for the Russell 2000, in the six months since we downgraded the stock to Neutral on January 13. We believe this tilts the risk/reward favorably for the company, which exited the second quarter of 2026 with more than $2.7 billion in cash—more than enough capital to launch its global SpaceMobile direct-to-device constellation. We model the latest overnight offering as taking deployable cash to more than $3.4 billion at the end of the third quarter of 2026, when we expect the company to exit the period with $824 million of net debt. Meanwhile, ASTS successfully deployed the 2,400-square-foot array of its BlueBird 10 satellite, with the BlueBird 8 and 9 arrays expected to follow shortly. $ASTS: @Ookla will release a recording to those who registered for the webinar but here are my live scratch notes of JR Wilson's insights + Full voice, data, messaging, no barriers. Not a "walled garden". Not limited to specific apps. + From a customer perspective, they may not even know that they're on satellite. They're just going to have seamless experiences. + AST strategy is an MNO-first strategy. Very large portfolio of Tier 1 MNO partners. Not just about white space but to augment the terrestrial network with a seamless experience. + @mikeddano: "It certainly seems like bigger satellites are better" + Still views satellite as very complementary except where economics may not make sense for a cell tower in some areas + Using satellite D2D you would be able to map heavy usage of D2D which may indicate the need to extend fiber or terrestrial network + Indoor coverage: It's not the same as a fiber macro site on the ground. Vast majority of usage is over wifi. We do get some indoor penetration but it depends on the indoor environment, i.e. windows, etc. Very good if in close proximity to window. We have videos of people testing video calls indoors. Probably won't work in basements. + "Thinking about not just the 0 bar, but the 1 bar areas." + Re: sovereignty, it's architecture but it's also structure. Take Europe for example: AST has a JV with Vodafone, largely in part for European sovereignty. The gateways that we built across Europe will be European gateways, effectively sovereignty in Europe. We make sure we are compliant with every country that we do business in with respect to data, how data is managed, preserved, etc. Whether it's a partnership in Europe with Vodafone or in Japan with Rakuten, they are close partnerships and built that way by design in part to preserve sovereignty. + By the nature of the business, you are building a global constellation, a global business. Everyone needs to respect that and appreciate that. As a multi national company we intend to operate in many jurisdictions. Where the HQ operates out of, I see it as optics and it's more political than anything else. It might matter to some countries more than others. This goes back to why we have strong MNO partnerships. These are MNOs who have operated in their countries for many years. They understand the regulatory, the customers, the market. That's how AST has chose to address it and I think that's the right strategy. + Expect to evolve to NR-NTN. From AST perspective we want to get there as soon as possible. It's important for device ecosystem to not be delayed. From AST perspective we want to be the absolute best. We are 95% vertically integrated. Patents. Cranking out manufacturing super fast. Diversified launch providers. We want to provide a true broadband experience.
