$CLOV This week the market handed us a preview of the next decade. Stripe, alongside Advent International, has made a $60.50 per share cash offer to acquire PayPal, a deal valued at more than $53 billion and roughly a 28 percent premium, with PayPal's board expected to meet within days to weigh it. Think about what that really means. PayPal is the elder statesman of digital payments, a company that has been around forever yet was never intellified, never truly electrified by artificial intelligence. It grew stale, and now a younger, sharper, AI native company is circling to absorb it. We just watched GameStop attempt the same play with eBay. This is not a coincidence. This is a pattern. The companies that have been supercharged by the artificial intelligence race are no longer content to compete with the incumbents. They intend to buy them. So here is my prediction, and I want you to remember where you read it. Clover Health is a Medicare Advantage company whose artificial intelligence platform, Clover Assistant, has demonstrated the ability to reduce medical cost ratio by roughly 1,500 basis points. That is fifteen percent, in an industry where single digits move markets. Its subsidiary, Counterpart Health, is now spreading like wildfire. Go look at the hiring and expansion visible on LinkedIn. We do not yet know exactly which major Medicare Advantage plan they are servicing, but the growth tells its own story. Consider this a warning to every Medicare Advantage plan still resisting Counterpart, whether because they believe they can build their own version or because they are convinced the fax machine will carry them into the future. The insurers that refuse to take this seriously will eventually be countered by a Counterpart growing so rapidly that it becomes the Stripe of healthcare intelligence. And just as Stripe is now reaching to buy a stale PayPal, I predict Clover Health will one day grow large enough to acquire the stale, incumbent Medicare Advantage giants themselves. The regulatory winds make this outcome even harder to escape, because healthcare is a regulated industry and the rules are changing. Clover's ongoing litigation victory against HHS is giving everyone a taste of what the future looks like. We already know CMS intends to strip away the administrative measures that incumbents have leaned on for years to flatter their star ratings while their actual clinical quality remained poor. Anyone reading this can testify to the denials, the prior authorization maze, the maddening peer to peer calls with a physician who has not practiced medicine in years. When those administrative crutches are removed and star ratings focus purely on clinical care quality, the picture transforms. I have already shown you the analysis from a PhD demonstrating that under clinically focused metrics, Clover leaps from 3.5 stars to 4.5 stars. Pair that with Clover being ranked the number one PPO plan in the nation on HEDIS quality measures for two consecutive years, and you are looking at a prognostic indicator of exactly what this company is becoming. So what happens to the incumbents, the old plans, the stale PayPals of insurance? If they refuse to adapt to clinical quality metrics, they will be left in the wind and ultimately forced onto Counterpart anyway. And here is the irony. The ones that hold out will likely be penalized by the government for weak HEDIS quality scores, receiving less funding while more flows to those actually delivering quality care. But I will simply allude to the deeper truth: even the plans that do adopt Counterpart will feed it data that makes Counterpart stronger, which in turn makes Clover's own Medicare Advantage business mightier and ready to enter any market it chooses. That is why I say Clover Health sits in a position where it wins on every branch of the tree. The incumbents have already lost. Checkmate was written on the wall three years ago. I saw it then, and now I am simply waiting for the industry, and for the Wall Street analysts, to catch up. Even Warren Buffett, in one of his recent sit downs with Becky Quick, spoke bluntly about how little faith he places in the judgment of Wall Street analysts, and on this one, history is about to prove the point. The US Constitution was the most important political innovation ever, but it's missing two important things: 1) A cap on the growth of government spending 2) A requirement for hard-backed currency Without them, every democracy drifts toward more debt and eventual loss of reserve currency status (see The Changing World Order). The US is $39T in debt, and adding $1T roughly every 100 days, with interest payments now exceeding the defense budget. There is no mechanism to stop it. Politicians get elected by promising free stuff using other people's money. Some voters get a benefit today, while the negative impact of the spending goes to future generations who can't vote yet. The incentive structure is broken. What fixes it? A new constitution somewhere on the frontier (Mars, special economic zones, cyberspace), an amendment that aligns incentives in the current system (politically challenging), or hyper economic growth (AI + robotics + crypto) to outpace inflation.
